UK FOOD COUNCIL TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the UK Food Council website (“Site”) and participation in UK Food Council Strategic Partnership (“Partnership”). By accessing the Site or subscribing to a Partnership, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Site or subscribe to Partnership.
1. Definitions
“UKFC”, “we”, “us”, “our” refers to the UK Food Council.
“Site” means https://foodcouncil.uk and associated digital platforms.
“Partner” means an organisation subscribing to Strategic Partnership.
“Partnership Subscription” means the paid subscription for Strategic Partnership.
“UKFC Forums” means roundtables, focus groups, panel discussions, briefings and structured engagement sessions organised by UKFC.
2. Acceptance of Terms
By accessing, browsing or using the Site, or by subscribing to a Partnership Subscription, you confirm that you have read, understood and agree to be bound by these Terms.
3. Amendments
UKFC reserves the right to amend these Terms at any time. Updated Terms will take effect immediately upon publication on the Site. Continued use of the Site or Partnership constitutes acceptance of any revised Terms.
4. Use of the Site
You agree to use the Site only for lawful purposes.
You must not:
Breach applicable laws or regulations
Interfere with or disrupt the Site
Attempt unauthorised access to systems or data
Use Site content for commercial purposes without written consent
5. Intellectual Property
All Site content, branding, publications, graphics, logos and materials are owned by UKFC or its licensors and are protected by intellectual property law. No material may be copied, reproduced, distributed or commercially exploited without prior written consent.
6. Disclaimer
Content on the Site is provided for general information purposes only. While UKFC endeavours to ensure accuracy, no representation or warranty is made regarding completeness, reliability or suitability. Use of information is at your own risk.
7. General Limitation of Liability
To the fullest extent permitted by law, UKFC shall not be liable for any direct, indirect, incidental or consequential loss arising from use of the Site. Nothing in these Terms excludes liability where unlawful.
8. Third-Party Links
The Site may contain links to external websites. UKFC has no control over third-party content & accepts no responsibility for it.
9. Privacy
Please refer to our Privacy Policy for information regarding collection and use of personal data.
10. Strategic Partnership Subscription Terms
10.1 Initial Term
The initial Partnership Subscription term shall be three (3) months.
The term shall commence on the first day of the month immediately following the date on which the Partnership Subscription is activated.
10.2 Renewal
Upon expiry of the initial term, the Partnership Subscription shall automatically renew for successive three (3) month periods unless cancelled in accordance with Clause 10.3.
10.3 Cancellation
A Partner may cancel the Partnership Subscription by providing written notice at least thirty (30) days prior to the renewal date.
Failure to provide notice within this period will result in automatic renewal for the next three-month term.
10.4 Fees
Subscription fees are payable as specified at the time of subscription.
Fees are non-refundable once a subscription period has commenced, except at UKFC’s sole discretion.
10.5 Non-Transferability
The nominated Partner listed on the subscription holds exclusive status for that organisation.
Partnership is non-transferable without prior written consent.
10.6 No Guaranteed Outcomes
Partnership provides access to forums, dialogue, visibility and sector engagement.
UKFC does not guarantee specific commercial outcomes, introductions, revenue generation, procurement awards or business success arising from participation.
10.7 VAT and Tax Treatment
The Partnership Subscription is a contractual agreement payable by monthly instalments over a term of twelve (12) months less one day (the “Contract Term”). VAT liability is determined at the end of the Contract Term accounting period and not at the time of each interim monthly payment. At the end of the Contract Term, a VAT invoice will be issued covering the total subscription value for that period at the prevailing VAT rate. If the Partnership Subscription is terminated before completion of the Contract Term, a VAT invoice will be issued covering the subscription period up to the date of termination. Any necessary VAT adjustments arising from interim payments will be settled at the end of the relevant accounting period, and UKFC may issue a revised VAT invoice or credit note where appropriate. The Partner agrees to settle any VAT due in accordance with the payment terms stated on the invoice.
11. Code of Conduct
Participation in UKFC activities requires professional integrity.
Partners agree to:
Conduct themselves lawfully and ethically
Engage constructively in dialogue
Refrain from aggressive sales conduct within UKFC Forums
Respect the integrity and neutrality of UKFC
Maintain professional standards in all interactions
UKFC reserves the right to suspend or terminate Partnership for conduct inconsistent with these standards.
Termination under this clause shall not entitle the Partner to any refund.
12. Confidentiality – UKFC Forums
Unless expressly stated otherwise:
Discussions within UKFC Forums are confidential and non-public.
Participants shall not record, publish or disclose specific comments, data or commercially sensitive information shared by others without written consent.
Attribution of comments to named individuals or organisations is prohibited unless expressly agreed.
UKFC may publish anonymised thematic summaries.
Participants remain responsible for ensuring disclosures do not breach their own legal obligations.
Breach of this clause may result in immediate termination of Partnership without refund.
13. Partnership Limitation of Liability
In respect of Partnership Subscriptions:
UKFC’s total aggregate liability shall not exceed the total fees paid by the Partner during the preceding twelve (12) month period.
UKFC shall not be liable for indirect or consequential loss, including but not limited to:
Loss of profit
Loss of business opportunity
Reputational harm
Anticipated savings
Nothing in this clause excludes liability where unlawful.
14. Termination of Access
UKFC reserves the right to suspend or terminate access to the Site or Partnership privileges where there is breach of these Terms or conduct damaging to UKFC’s reputation.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute.
